These Terms of Service ("Terms") govern your access to and use of the websites, software, applications, platforms, portals, services, and related technologies provided under the Universal Data Health System ("UDHS") brand and operated by Big Rock Technology Group, LLC ("Big Rock Technology Group," "UDHS," "we," "us," or "our").
By accessing or using UDHS, you agree to be bound by these Terms. If you are using UDHS on behalf of an organization, you represent that you are authorized to accept these Terms on behalf of that organization.
If you do not agree to these Terms, you must not access or use UDHS.
UDHS provides healthcare technology, software, data management, interoperability, administrative, clinical, operational, and related services for healthcare organizations and other authorized users.
UDHS services may include, depending on the customer's implementation:
Features available to a particular user may vary according to the customer's subscription, configuration, permissions, contracts, and applicable laws.
You may use UDHS only if you are legally permitted to do so and, where applicable, have been authorized by the healthcare organization, employer, administrator, or other entity responsible for your account.
You agree to use UDHS only for lawful, legitimate, and authorized purposes.
You must not:
Certain UDHS services require an account.
You are responsible for maintaining the confidentiality and security of your account credentials and for activity performed through your account.
You must immediately notify your organization administrator or UDHS if you become aware of:
UDHS may enforce authentication requirements, password requirements, multifactor authentication, session expiration, access restrictions, and other security measures.
Many users access UDHS through a healthcare organization, clinic, hospital, laboratory, pharmacy, employer, or other customer.
In those circumstances, the customer organization may control:
Your use of UDHS may also be subject to agreements between Big Rock Technology Group, LLC and that organization.
If these Terms conflict with a separately executed agreement governing a customer's use of UDHS, the executed agreement will control to the extent of the conflict.
Certain information processed through UDHS may constitute Protected Health Information ("PHI") under the Health Insurance Portability and Accountability Act of 1996 ("HIPAA").
Where UDHS acts as a Business Associate of a HIPAA-covered entity, UDHS's obligations concerning PHI are governed by applicable law and, where required, an applicable Business Associate Agreement ("BAA").
Users may access, use, or disclose PHI only when authorized and only for lawful healthcare, treatment, payment, operational, administrative, or other permitted purposes.
Unauthorized access to, use of, or disclosure of PHI is prohibited and may result in account termination, disciplinary action, contractual liability, civil liability, or criminal penalties.
Healthcare information maintained through UDHS may form part of a patient's designated medical record or other healthcare record maintained by a healthcare organization.
Except where UDHS itself is legally responsible for a particular record, the applicable healthcare provider or healthcare organization is generally responsible for the medical record and decisions regarding access, amendment, disclosure, retention, and release.
Patients seeking access to or amendment of healthcare records should generally contact the healthcare provider or organization responsible for those records.
UDHS is a technology platform and does not itself provide medical care, diagnosis, treatment, prescriptions, or medical advice.
Information made available through UDHS, including alerts, recommendations, analytics, automated outputs, or artificial intelligence-assisted content, is intended to support authorized healthcare professionals and workflows.
Such information is not a substitute for the independent professional judgment of a qualified healthcare provider.
Healthcare professionals remain responsible for evaluating information available through UDHS and making appropriate clinical decisions.
Patients should consult a qualified healthcare professional regarding medical conditions, diagnoses, medications, or treatment.
If you believe you are experiencing a medical emergency, call 911 or your local emergency services immediately.
Certain UDHS services may use artificial intelligence, machine learning, automated analysis, decision support, or similar technologies.
Automated outputs may contain errors, omissions, incomplete information, or inaccurate interpretations.
You agree that:
Unless otherwise stated in an applicable customer agreement, UDHS does not use customer PHI to train public, general-purpose artificial intelligence models.
UDHS may receive information from users, healthcare providers, laboratories, pharmacies, insurers, clearinghouses, third-party systems, medical devices, external databases, and other sources.
UDHS does not independently verify all information supplied by these sources.
Users and customer organizations are responsible for ensuring that information entered into UDHS is accurate, complete, and appropriate for its intended use.
UDHS may connect with third-party services, including:
Third-party services are operated independently from UDHS.
We are not responsible for the availability, accuracy, security, privacy practices, content, or performance of independent third-party services, except to the extent required by applicable law or an executed agreement.
Where UDHS provides or integrates electronic prescribing functionality, prescriptions and related transactions may be processed through third-party pharmacy networks, pharmacies, intermediaries, or other healthcare systems.
Prescribers are responsible for:
UDHS does not guarantee that a pharmacy will accept, dispense, or fulfill any prescription transmitted through an integrated service.
UDHS may provide functionality related to healthcare claims, coverage verification, insurance eligibility, benefits, authorization, or billing.
Information received from insurers, clearinghouses, payers, or other third parties may change and may not represent a guarantee of payment.
Eligibility or benefits information does not guarantee that a claim will be paid or that a particular service will be covered.
Healthcare organizations remain responsible for verifying coverage, coding, billing, authorization, and reimbursement requirements.
Certain UDHS services may provide SMS, email, telephone, portal notification, or other electronic communication features.
By providing contact information and opting in where required, you authorize communications consistent with your consent and applicable law.
Message frequency may vary based on the services you use and your interactions.

Consent to receive marketing SMS messages is not a condition of purchasing products or services unless otherwise permitted by law.
Carriers are not liable for delayed or undelivered messages.
Certain UDHS services may require payment under a subscription, license, implementation agreement, service agreement, order form, or other commercial agreement.
Fees, payment schedules, renewal terms, taxes, and cancellation rights will be governed by the applicable commercial agreement.
Unless otherwise expressly agreed in writing, fees paid for services already provided are non-refundable to the extent permitted by law.
We seek to provide reliable and secure access to UDHS, but uninterrupted availability cannot be guaranteed.
Services may become temporarily unavailable because of:
Specific uptime or service-level commitments, if any, will be provided in the applicable customer agreement.
UDHS implements administrative, technical, and organizational safeguards designed to protect systems and information.
Users must cooperate with security requirements and must not attempt to disable or circumvent security measures.
We may monitor system activity, authentication events, access patterns, network activity, audit logs, and related technical information for security, compliance, operational, and troubleshooting purposes.
UDHS may record access to and activity within the system, including user actions involving healthcare information.
Audit logs may include:
These records may be retained for security, compliance, healthcare operations, legal requirements, or contractual obligations.
UDHS, including its software, source code, object code, interfaces, designs, databases, documentation, logos, trademarks, graphics, workflows, and other proprietary materials, is owned by or licensed to Big Rock Technology Group, LLC and is protected by applicable intellectual property laws.
Except as expressly authorized in writing, you may not:
As between UDHS and its customers, customers retain their rights in data submitted to or maintained through UDHS, subject to applicable agreements and laws.
Customers grant UDHS the rights reasonably necessary to host, process, transmit, secure, back up, and otherwise handle customer data in order to provide the services.
Nothing in these Terms grants UDHS ownership of a patient's medical record.
Your use of UDHS is also subject to our Privacy Policy.

UDHS or the applicable customer organization may suspend or terminate access where reasonably necessary, including when:
Termination does not eliminate obligations or rights that, by their nature, should survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UDHS AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, EXCEPT FOR EXPRESS WARRANTIES PROVIDED IN A SEPARATE WRITTEN AGREEMENT.
BIG ROCK TECHNOLOGY GROUP, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED AVAILABILITY, TO THE EXTENT PERMITTED BY LAW.
WE DO NOT WARRANT THAT UDHS WILL BE ERROR-FREE, THAT ALL DATA WILL BE ACCURATE, OR THAT THIRD-PARTY INTEGRATIONS WILL ALWAYS BE AVAILABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIG ROCK TECHNOLOGY GROUP, LLC, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WHERE A SEPARATE CUSTOMER AGREEMENT CONTAINS A SPECIFIC LIMITATION OF LIABILITY, THAT AGREEMENT WILL GOVERN.
NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
To the extent permitted by law, you agree to indemnify and hold harmless Big Rock Technology Group, LLC, its affiliates, officers, employees, and contractors from claims, damages, liabilities, losses, and expenses arising from:
This provision may be superseded by the terms of an applicable customer agreement.
You agree to use UDHS in compliance with all laws and regulations applicable to your use of the services, including where applicable:
UDHS software and technology may be subject to United States export control and sanctions laws.
You agree not to use, export, re-export, transfer, or make available UDHS in violation of applicable export control or sanctions requirements.
Unless otherwise provided in a separate written agreement, these Terms will be governed by the laws applicable to Big Rock Technology Group, LLC, without regard to conflict-of-law principles.
Any dispute concerning a customer relationship may also be subject to jurisdiction, venue, mediation, arbitration, or dispute-resolution provisions contained in the applicable customer agreement.
We may update these Terms periodically to reflect changes in our services, business practices, technologies, regulatory requirements, or applicable laws.
When changes are made, the "Last Updated" date at the top of these Terms will be revised.
Material changes may be communicated through the UDHS website, applications, account notices, customer communications, or other appropriate means.
Continued use of UDHS after revised Terms become effective constitutes acceptance of those Terms to the extent permitted by law.
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Failure by UDHS to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.
These Terms, together with the UDHS Privacy Policy and any applicable customer agreement, order form, Business Associate Agreement, service-level agreement, or other executed agreement, constitute the applicable agreement governing use of UDHS.
Where an executed written agreement conflicts with these Terms, the executed agreement controls to the extent of the conflict.
